1. INTRODUCTION

This website (including our mobile websites) and/or our mobile applications (“Website”) is owned and operated by SewShare, LLC (SewShare), our subsidiaries and our affiliates (collectively, “SewShare.com”, “us”, “we”, or “our”), with participation by various Sellers offering products and services via the Website. These terms of use (“Terms of Service”), located at https://www.SewShare.com/terms-of-service, apply to your use of the Website, any account you may establish on the Website, any products or services offered by SewShare.com (including, without limitation personalized Website services, seller platform (“Seller Marketplace”), content platforms, forums, and tools), and any other service, functionality or offering where these Terms of Service are linked or provided (collectively, “Services”). Your use of the Website and the Services is conditioned upon your acceptance of these Terms of Service, and your continued use of the Website and the Services constitutes your agreement to these Terms of Service. If you do not wish to be bound by these Terms of Service, please do not use the Website or the Services. You may not use our Website or Services if you are under 18 years of age. We may update these Terms of Service from time to time in our sole discretion, in which case we will post the revised Terms of Service here.

These Terms of Service apply to all visitors and users of our Website and our Services, including but not limited to registered users, SewShare’s licensors and services, Sellers with listings on the Seller Marketplace (“Sellers”), but some provisions apply to each party differently.

IMPORTANT NOTICE OF CLASS ACTION AND JURY WAIVER: THESE TERMS OF USE CONTAIN A MANDATORY ARBITRATION AGREEMENT, REQUIRING ANY DISPUTE BETWEEN YOU AND SEWSHARE TO BE EXCLUSIVELY RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION AND REQUIRING YOU TO FOREGO JURY TRIALS, CLASS OR COLLECTIVE ACTIONS OR PROCEEDINGS, AND ALL OTHER TYPES OF COURT PROCEEDINGS OF ANY KIND, SUBJECT TO LIMITED EXCEPTIONS. UNLESS YOU OPT-OUT IN ACCORDANCE WITH THE OPT-OUT PROCEDURES DESCRIBED BELOW, YOU WILL BE BOUND BY THIS ARBITRATION AGREEMENT. BY ACCESSING, USING, AND/OR BUYING ANY PRODUCT THROUGH THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE TERMS OF THE ARBITRATION AGREEMENT AND HAVE TAKEN TIME TO CONSIDER THE CONSEQUENCES OF THIS IMPORTANT DECISION.

Your use of the Website and the Services is further conditioned upon your acceptance of our Privacy Policy. Your continued use of the Website and the Services constitutes your agreement to the Privacy Policy. A copy of the Privacy Policy that applies to the collection, use, disclosure and other processing of Personal Information on the Website or through the Services is located at https://www.SewShare.com/privacy-policy. You consent to any Personal Information we obtain about you (either via the Website, through the Services, by email, telephone/text or any other means) being collected, stored and otherwise processed in accordance with the terms of our Privacy Policy. If you provide SewShare.com with Personal Information of others, you represent that you have obtained permission from such persons to share such information with us and for us to use such information as set forth in these Terms of Service and our Privacy Policy. These Terms of Service are intended to be read together with our Privacy Policy, and any capitalized terms used but not defined in these Terms of Service will have the meaning given to them in the Privacy Policy.

2. USER SUBMISSIONS AND CONTENT

You represent that all of the information, data and other materials you post, upload, transmit, share, store, or otherwise provide through the Website, the Services or to SewShare.com through email, telephone, surveys or any other means (“User Submissions”) are true, accurate, current and complete. As used herein, “User Submissions” shall include, without limitation, any creative or original materials or any other creative suggestions, text, software, music, sound, photographs, graphics, videos, messages, ideas, notes, drawings, concepts, marketing plans or other information that any user, whether an individual or an entity submits to us, and you agree that all User Submissions will be treated in accordance with these Terms of Service and our Privacy Policy. Except as otherwise required under applicable privacy laws, you are responsible for updating and correcting the User Submissions you have provided, as appropriate. Some features that may be available on the Website or through the Services require that you register for a SewShare.com account. By registering, you agree to provide true, accurate, current and complete information about yourself, others, and/or your business, as applicable.

The materials displayed, performed, or available on or through the Website or the Services (including, without limitation, text, fonts, design, graphics, logos, icons, images, audio clips, videos, User Submissions, downloads, interfaces, code and software, as well as the compilation (meaning the collection, selection, arrangement and assembly of some or all of the foregoing) (“Content”) is the exclusive property of its owner (SewShare.com and/or its licensors, partners and/or other content providers, as applicable, “Content Owner”) and is protected by copyright and trademark law, as well as other applicable Regulations. Without Content Owner’s prior written consent, you may not sell, reproduce, distribute, download, modify, display, publicly perform, create derivative works based on, repost or otherwise use any Content in any way for any purpose, including using Content on any other website. 

For Sellers:

Submitting and/or posting User Submissions to the Website or through the Services does not alter the ownership of the User Submissions. User Submissions you own continue to belong to you. By submitting and/or posting User Submissions to the Website or the Services, you automatically grant SewShare.com a worldwide, royalty-free, non-exclusive, perpetual, irrevocable and fully assignable, transferable and sublicensable right and license to use, reproduce, publish, broadcast, disclose, transmit, post, distribute, modify, adapt, edit, translate, distribute, perform, link to, create derivative works of and display such User Submissions alone, or as a part of other works, in any form, media, or technology, whether now known or hereafter developed, for the purposes described in the following paragraph.

This license grants SewShare.com the ability to use your User Submissions to create and promote/advertise SewShare.com’s Seller Marketplace (including your Seller listing), SewShare.com’s content platforms and other related Services. For the same purposes, SewShare.com may use, reproduce, publish, broadcast, disclose, transmit, post, distribute, modify, adapt, edit, translate, distribute, perform, link to, create derivative works of and display such User Submissions alone, or as a part of other works, in any form, media, or technology, whether now known or hereafter developed. This license does not grant SewShare.com the ability to use your User Submissions to promote Services other than SewShare.com’s Seller Marketplace, SewShare.com’s content platforms and other related Services. Should SewShare.com seek to use your User Submissions in ways that exceed this license, SewShare.com must ask for and receive your written permission to do so.

For All Other Users:

By submitting and/or posting User Submissions to the Website or the Services, you automatically grant to SewShare.com a worldwide, royalty-free, non-exclusive, perpetual, irrevocable and fully assignable, transferable and sublicensable right and license to use, reproduce, publish, broadcast, disclose, transmit, post, distribute, modify, adapt, edit, translate, distribute, perform, link to, create derivative works of and display such User Submissions alone, or as a part of other works, in any form, media, or technology, whether now known or hereafter developed. Any Content you transmit or post may be used by SewShare.com or licensed to others by SewShare.com for any purpose whatsoever.

If you share a User Submission solely in a manner that we have communicated will or is otherwise designed to only be viewed by SewShare.com and certain specified users (for example, a private message that you send through the Website to a Seller to whom you want to send an inquiry or to whom you have been connected through SewShare.com’s platform) (a “Limited Audience User Submission”), then you hereby grant SewShare.com the licenses above, subject to the limitation as communicated. Also, you grant SewShare.com and such other specified users a license to access that Limited Audience User Submission, and to use and exercise all rights therein, as permitted by the functionality of the Website. Notwithstanding anything to the contrary, no such limitation shall restrict SewShare.com with respect to non-personally identifiable information within User Submissions.

For All Users:

As a user, you are responsible for your own User Submissions and are responsible for the consequences of your posting such User Submissions. You acknowledge and agree that you are responsible for any User Submissions submitted from your SewShare.com account or otherwise submitted by you through the Website or through the Services, by email, telephone/text or any other means, including the legality, reliability, appropriateness, originality and copyright of any such User Submissions. You may not upload to, distribute, provide or otherwise publish through the Website or through the Services any User Submission  that: (i) is copyrighted, unless you are the copyright owner or have the permission of the copyright owner; that violates SewShare’s Acceptable Use Policy (ii) is obscene, sexually explicit, defamatory, threatening, harassing, offensive, abusive, hateful, or embarrassing to another user or any other person or entity; (iii) is confidential, proprietary, invasive or violative of privacy or publicity rights, infringing, misappropriating or otherwise violative of intellectual property rights, unlawful, harmful, false, fraudulent, libelous, defamatory, vulgar, profane, abusive, racially, ethnically or otherwise objectionable, including, but not limited to any content that encourages conduct that would constitute a criminal offense, violates the rights of any party or otherwise gives rise to civil liability or otherwise violates any applicable U.S. or foreign Regulations; (iv) may contain software viruses, malware or other harmful code; (v) is an advertisement, solicitation, promotional material, “junk mail,” “spam,” chain letters, pyramid schemes or any form of commercial content; (vi) impersonates another person or misrepresents your affiliation with any person or organization; (vii) contains Personal Information, except as reasonably necessary to use the Website or other Services or where we expressly ask you to provide such information; (viii) contains messages that offer unauthorized downloads of any copyrighted, confidential or private information; or (ix) contains identical (or substantially similar) messages to multiple recipients advertising any product or service, expressing a political or other similar message, or any other type of unsolicited commercial message (this prohibition includes but is not limited to using the Website to connect to people who do not know you and then sending unsolicited promotional messages to those direct connections without their permission. Furthermore, you will not access the Website to obtain a list of users of the Website or access or use any secure or non-public areas of the Website without authorization or frame or link to the Website. SewShare.com do not represent or guarantee the truthfulness, accuracy, or reliability of any Content posted by other users or endorse any opinions expressed by users. You may not use a false email address, phone number or other identifying information, impersonate any person or entity or otherwise mislead as to the origin of any Content. You acknowledge that any reliance on Content posted by other users will be at your own risk. SewShare.com does not screen communications in advance and is not responsible for screening or monitoring any Content posted by users. SewShare.com reserves the right, in its sole discretion, to remove Content, or any portion thereof, for any reason whatsoever in its sole discretion at any time without notice, including for violating these Terms of Service or applicable Regulations.

Reviews

SewShare.com may permit users to submit reviews of Sellers via email, on Store Profiles or other areas of the Website or through such other means as are provided by SewShare.com (“Seller Reviews”). SewShare.com may also permit users to submit ratings and reviews of products they have purchased on our Website (“Reviews and Ratings User Submissions”) as part of the user ratings and reviews and/or Forum service offered by SewShare.com (“Review Services”). By submitting a Seller Review or a Reviews and Ratings User Submission, you agree to be bound by User Submission requirements and the Acceptable Use Policy, without modification, and you represent that you have read and understood them all.

Seller Reviews and Reviews and Ratings User Submissions are not endorsed by SewShare, and do not represent the views of SewShare or of any affiliate or partner of SewShare. SewShare does not assume liability for any Seller Reviews and Reviews and Ratings User Submissions or for any claims, liabilities, or losses resulting from or relating to Seller Reviews and Reviews and Ratings User Submissions .

3. USE OF WEBSITE AND THE SERVICES

Subject to your compliance with these Terms of Service, SewShare.com grants to you a limited license to access and use the Website and/or the Services as described herein. The Content Owner retains full and complete title to the Content available on the Website or through the Services, including all associated intellectual property rights, and provides this Content to you under a license that is revocable at any time in SewShare.com’s sole discretion. You are solely responsible for compliance with any and all applicable laws, rules, regulations and local ordinances, including without limitation, necessary permits (collectively, “Regulations”) that may apply to your use of the Content, the Website, or the Services, and SewShare.com strictly prohibit any use of the Content, the Website or Services that is non-compliant with or in violation of such Regulations and/or these Terms of Service, including but not limited to: (i) any downloading, copying or other use of the Content (unless you own or have the necessary rights to the Content), the Website or the Services for purposes competitive to SewShare.com or for the benefit of another seller or any third party (except as expressly permitted by the Website); (ii) any caching, unauthorized linking to the Website or the framing of any Content available on the Website or through the Services; (iii) any modification, distribution, transmission, performance, broadcast, publication, uploading, licensing, reverse engineering, transfer or sale of, or the creation of derivative works from, any Services or Content obtained from the Website or through the Services that you do not have a right to make available (such as the intellectual property of another party); (iv) any uploading, posting or transmitting of any material that contains software viruses or any other computer codes, files or programs designed to interrupt, destroy or limit the functionality of any computer or device; (v) using any hardware or software intended to surreptitiously intercept or otherwise obtain any information (such as system data or Personal Information) from the Website or the Services (including but not limited to the use of any “scraping” or other data mining techniques, robots or similar data gathering and extraction tools); or (vi) any action that imposes or may impose (in SewShare.com’s sole discretion) an unreasonable or disproportionately large load on SewShare.com’s infrastructure, or damage or interfere with the proper working of our infrastructure.

You are responsible for obtaining access to the Website and the Services, and that access may involve third-party fees (such as Internet service provider or airtime charges). In addition, you must provide and are responsible for all equipment necessary to access the Website and the Services. You may not bypass any measures that have been implemented to prevent, restrict or secure access to the Website. Any unauthorized access to the Website or the Services by you (including any such access or use that involves in any way an account you may establish on the Website or any device you may use to access the Website or the Services) shall terminate the permission or license granted to you by SewShare.com. SewShare.com neither warrants nor represents that your use of the Content available on the Website or through the Services will not infringe, misappropriate or otherwise violate the rights of third parties. Termination of your access or use will not waive or affect any other right or relief to which SewShare.com may be entitled, at law or in equity.

You may receive a password in connection with your use of the Website. Registration for an account on the Website requires you to (i) indicate agreement to these Terms of Service, (ii) provide contact information and identification details and (iii) submit any other form of authentication required as part of the registration process, in SewShare.com’s sole discretion. If someone legally authorized to act on your behalf (“Authorized Agent”) registers for a SewShare.com account on your behalf, SewShare.com may require written proof of such authorization and verification of identity directly from you. You agree to accept full responsibility for all activities that occur under your account and password, even if such actions are undertaken by your Authorized Agent or other third party. You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your account. If you have any reason to believe or become aware of any loss, theft or unauthorized use of your login credentials or the Website, you will notify SewShare.com immediately. SewShare.com shall be entitled to assume that any communications we receive from you via email, telephone/text or other address, or communications that are associated with your login credentials or your account on the Website, have been made by you or your Authorized Agent unless we receive notice indicating otherwise.

Purchases. If you purchase a product on the Website. 

Items You Purchase. You understand that SewShare.com does not manufacture, store, or inspect any of the items sold through our Services. We provide the venue; the items in our marketplaces are produced, listed, and sold directly by independent Sellers, so SewShare.com cannot and does not make any warranties about their quality, safety, authenticity, or their legality. Any legal claim related to an item you purchase must be brought directly against the Seller of the item. You release SewShare.com from any claims related to items sold through our Services, including for defective items, misrepresentations by sellers, or items that caused physical injury (like product liability claims).

• You are not buying directly from SewShare.com, but from one of the many talented Sellers on SewShare.com;
• SewShare.com does not pre-screen items sold on SewShare.com and therefore does not guarantee or endorse any items sold on SewShare.com or any content posted by Sellers (such as photographs, language used in listings or store policies);
• Each Seller on SewShare.com has their own processing times, shipping methods, and store policies; and
• You assume responsibility if you provide your own materials for a custom order.

Promotions. SewShare.com special offers or promotions are managed by SewShare.com in their sole discretion and redemption of and participation in such offers or promotions are subject to SewShare.com’s sole discretion. SewShare.com is not responsible for special offers or promotions provided by Sellers.

From time to time, SewShare.com may make available promotional codes or coupons for marketing, goodwill, referrals or other promotional purposes. These codes or coupons expire on the date disclosed at the time the code or coupon is issued and may be subject to additional terms and conditions provided by SewShare.com in connection with such codes or coupons.

As a member of the SewShare.com community, you have the opportunity to flag an item or a store that violates any of SewShare.com’s policies. Flagging is confidential.

Making a Purchase.  When you buy from a Store on SewShare.com you’re directly supporting an independent business, each with its unique listings, policies, and processing times. By making a purchase from a Seller on SewShare.com, you agree that you have:

• Read the item description and store policies before making a purchase;
• Submitted appropriate payment for item(s) purchased; and
• Provided accurate shipping information to the Seller.

When purchasing from Sellers payments are processed through Paypal Inc. Buyers may authorize a payment with any major credit or debit card accepted by SewShare.com, through PayPal (where available), Apple Pay, Google Pay, or Samsung Pay.

By using a third-party service, you may also be subject to an agreement with the third party. For example, PayPal is a third-party service provided by PayPal Holdings, Inc. and your use of PayPal is subject to the PayPal User Agreement. Apple Pay is a third-party service provided by Apple Inc. and is subject to the Apple Pay Terms and Conditions. Google Pay is a third-party service provided by Google Payment Corp. and is subject to the Google Pay Terms of Service for US users, non-US users, and India residents. Samsung Wallet is a third-party service provided by Samsung Inc. and is subject to the Samsung Wallet Terms and Conditions.

SewShare.com may share your personal or transactional information with those third-party service providers for purposes related to payments processing. ​​The provider and processing time for your payment will vary based on the country in which you’re located.

For the safety of our community, and to avoid scams and fraud, all transactions must take place through the SewShare.com checkout system. It is prohibited to share contact information or QR codes for the purposes of making an off-platform transaction. If you need to discuss the details of your order with a Seller, please keep your communication on the SewShare.com platform (via Messages).

Returning an Item

Each Seller has their own return policies, which should be outlined in their Store Policies. Not all Sellers accept returns. For returns on digital items, please see Seller listing.

SewShare.com may, in its sole discretion, choose to not process or to cancel your order in certain circumstances. This may occur, for example, when the product or service you wish to purchase is out of stock or has been mispriced, we suspect the request is fraudulent, or in other circumstances as SewShare.com deems appropriate, in each case in its sole discretion. SewShare.com also reserves the right, in its sole discretion, to take steps to verify your identity to process your order. SewShare.com either will not charge you or will refund the charges for orders that we do not process or cancel.

SewShare.com strives to provide accurate information regarding the products and services available on the Website. Despite these efforts, a small number of items on the Website may be mispriced, described inaccurately or unavailable, and we may experience delays in updating information on the Website and in our advertising. As a result, we cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability and services. SewShare.com reserves the right, in its sole discretion, to change or update the information on the Website and to correct errors, inaccuracies or omissions at any time without prior notice, including any error in the stated retail price of a product or service. We also reserve the right to not process or to cancel any orders placed for a product or service whose price was incorrectly posted on the Website as a result of an error. If this occurs, SewShare.com will notify you by email.

Sellers

SewShare.com may allow Sellers to post profiles on the Website (“Seller Profiles”). As a SewShare.com Seller, you agree and acknowledge that Seller Profiles constitute User Submissions. Sellers are responsible for providing accurate and current information in their Seller Profiles. By posting User Submissions including Seller Profiles, each Seller acknowledges and agrees that the User Submissions are subject to and will comply with these Terms of Service, including without limitation the section entitled “User Submissions”. By joining the  Seller Marketplace as a SewShare.com Seller, you agree that at least one user of your SewShare.com Store will receive important notifications regarding your Seller account via email or text message, including alerts, inquiries or orders from users. As a Seller, you also agree not to engage in any tactics, or direct or encourage others to engage in any tactics, that attempt to circumvent the Seller Marketplace or any related Services, including by encouraging or inducing SewShare.com users to make connections with you or others outside of the Seller Marketplace (including by making contact information available to SewShare.com users through the use of text, photos or other images) or otherwise inducing SewShare.com users to subvert the Seller Marketplace or other related Services.

As a Seller, you agree not to share or request payment information (including credit or debit card information or account numbers) or other Personal Information via Messaging. You acknowledge and agree that SewShare.com may set certain limits on the file or message size delete any message attachments uploaded or attached by such Seller) after a certain period of time, in each case, in SewShare.com’s sole discretion.

If you are a Seller or if you interact with a Seller, you acknowledge and agree that: (i) SewShare.com does not and will not endorse any Seller or any such Seller’s products or services (whether or not we connect or otherwise facilitate communications between such Seller and other SewShare.com users); (ii) SewShare.com is not responsible for assisting Sellers and other SewShare.com users in reaching an agreement (which includes agreements between Sellers); (iii) SewShare.com is not responsible for assisting Sellers in providing products and services to other SewShare.com users; (iv) while all SewShare.com users are required to give us accurate information about themselves, SewShare.com cannot and will not verify this information; (v) any transaction a Seller enters into with another SewShare.com user is strictly between such Seller and the other SewShare.com user, and SewShare.com is not a party to such transaction (whether or not we connect or otherwise facilitate communications between such Seller and such other SewShare.com user; (vi) SewShare.com makes no guarantees or promises with respect to successful transactions between Sellers and other SewShare.com users; and (vii) any dispute a SewShare.com user may have with another SewShare.com user (including a SewShare.com user that is a Seller) is between those SewShare.com users, and we will not be a party to that dispute. If you are a Seller, you agree that any contact information provided to you is solely to facilitate communications with buyers, and you may not use the user’s contact information for any other purpose, including for purposes of adding to marketing lists or sending automated messages (such as bulk email, SMS, robocalls, robotexts), or to spam the user through any means. Sellers are solely responsible for compliance with all applicable Regulations and for all taxes and payments which may be applicable to their respective products or services and their communication with other SewShare.com users.

Links

SewShare.com have not reviewed all of the websites linked to or otherwise made available through the Website and/or our Services, including our social media accounts (“External Sites”), and SewShare.com is not responsible for the availability, content or accuracy of any External Sites. The inclusion of any link to such External Sites does not imply endorsement by SewShare.com of such External Sites. Your clicking on a link to or otherwise accessing any External Sites is at your own risk. You agree that the SewShare.com Parties will not be liable for any loss or damages you or any third party may suffer in connection with any External Sites. We encourage you to read the terms, policies and privacy statements of all such External Sites, as their policies may be materially different from ours, and your use of our Website and any Services that incorporate any such External Sites may be subject to the applicable terms, conditions and policies of such External Sites.

4. NON-DISCRIMINATION POLICY

SewShare.com prohibit discrimination by Sellers, Content Owners or other licensors against visitors, users, or any other party (“Protected Class”) on the basis of race, ethnicity, color, religion, sex, national origin, ancestry, physical characteristic, disability, marital status, family status or composition, pregnancy status, sexual orientation, gender identity, gender expression, political affiliation, veteran or citizenship status, age, or any other characteristic protected under applicable federal, regional, state, or local law (“Protected Characteristic”). Such discrimination includes, but is not limited to, doing any of the following: (i) refusing to provide products or services to, or accept products or services from, a member of any Protected Class on the basis of a Protected Characteristic; (ii) submitting discriminatory content on the Website or through the Services; (iii) imposing any different terms or conditions upon a member of any Protected Class on the basis of a Protected Characteristic; or (iv) any other conduct that improperly takes into account any Protected Characteristic. SewShare.com will take steps, in their sole discretion, to enforce this policy, up to and including the suspension or removal from the Website and deactivation of the account of anyone who violates this policy. In addition, Sellers should make every effort to be welcoming to users of all backgrounds. 6. TERMINATION

SewShare.com reserve the right to terminate, restrict, prohibit, modify or limit all current and future use of and access to Website and/or the Services, or any portion thereof, including by deactivating your account or otherwise removing you from the Website, for any reason whatsoever in their sole discretion at any time without notice, including without limitation (a) in order to comply with the applicable Regulations, (b) if you provide any information that SewShare.com determines to be untrue, inaccurate, not current or incomplete (or if the information you previously provided becomes untrue, inaccurate, not current or incomplete), or (c) if SewShare.com determines or suspects that you are using your SewShare.com account in a manner not permitted by these Terms of Service or applicable Regulations or you have otherwise violated or acted inconsistently with the letter or spirit of these Terms of Service and the SewShare Acceptable Use Policy. DISPUTE RESOLUTION; ARBITRATION AGREEMENT; CLASS ACTION WAIVER 

PLEASE READ THIS SECTION (THE “ARBITRATION AGREEMENT”) CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT PROVIDES FOR RESOLUTION OF MOST DISPUTES THROUGH INDIVIDUAL ARBITRATION INSTEAD OF COURT TRIALS AND CLASS ACTIONS. 

Arbitration

It provides for resolution of most disputes through arbitration instead of through court trials and class actions. No amendment to this Arbitration Section will apply to a dispute of which SewShare.com had actual notice on the date of such amendment. Any termination of this Arbitration Section by SewShare.com will not be effective (i) until 10 days after reasonable notice of termination is given to you; or (ii) as to disputes which arose prior to the date of termination.

BINDING ARBITRATION REQUIRED. This provision is intended to be interpreted broadly to encompass all disputes or claims you may have with SewShare.com, including those arising out of or relating to this Agreement, your access to and use of the Site, any purchase on the Site, or any other aspect of your relationship or interactions with SewShare.com. Any dispute or claim arising out of or relating to this Agreement, your access to or use of the Site, or your relationship with us or any subsidiary, parent or affiliate company or companies (whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory) will be resolved by binding arbitration, except that either you or SewShare.com may take claims to small claims court if they qualify for hearing by such a court.

The arbitration of any dispute or claim shall be conducted in accordance with the rules of the American Arbitration Association (“AAA”), including the AAA’s Consumer Arbitration Rules (as applicable), as modified by these Terms and Conditions. The AAA Rules and information about arbitration and fees are available online at www.adr.org. Each party is responsible for its own arbitration fees, but the arbitrator may award you your fees if you are successful on your claim. You and we agree that this Agreement, including this Arbitration Section will be governed by the Federal Arbitration Act and Texas state law. Any arbitration will be held in the State of Texas or at another mutually agreed location. The arbitration will be conducted in the English language. An arbitrator may award on an individual basis any relief that would be available in a court, including injunctive or declaratory relief to the extent required to satisfy your individual claim, and must follow and enforce this Agreement as a court would. Any arbitration shall be confidential, and neither you nor we may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction. Regardless of what the applicable AAA Rules provide, you and we agree that discovery in any arbitration will be limited to no more than three (3) depositions and five (5) requests for documents or interrogatories. The arbitrator may direct additional discovery only upon a clear and convincing showing of compelling need. You and we agree that the arbitrator(s) should decide the matter without a testimonial hearing if the material facts are undisputed. Either party may appeal an arbitration award to any court of proper jurisdiction only if the amount, or value of injunctive relief, in dispute exceeds $25,000. Appeals may result in reversal or modification of an award based on errors of law or factual findings that lack substantial evidentiary basis.

CLASS ACTION WAIVER. You and SewShare.com each agree that any proceeding, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated or representative action. If a court or arbitrator determines in an action between you and SewShare.com that this class action waiver is unenforceable, this Arbitration Section will be void as to you.

JURY TRIAL WAIVER. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

Jurisdictional Issues

The Site is controlled and operated by SewShare from the United States, and is not intended to subject SewShare to the laws or jurisdiction of any state, country or territory other than that of the United States. SewShare does not represent or warrant that the Site or any part thereof is appropriate or available for use in any particular jurisdiction other than the United States. In choosing to access the Site, you do so on your own initiative and at your own risk, and you are responsible for complying with all local laws, rules and regulations. General Provisions

These Terms of Service constitute the entire agreement and understanding between you and SewShare.com with respect to your use of the Website and Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter. These Terms of Service will be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflicts of law provisions. The failure of SewShare.com to act with respect to a breach of these Terms of Service by you or others does not waive SewShare.com’s right to act with respect to subsequent or similar breaches. SewShare.com does not guarantee that it will take action against all breaches of these Terms of Service. Except as otherwise expressly provided in these Terms of Service, there shall be no third-party beneficiaries to these Terms of Service.
